1. Agreement to Terms & Operating Entity
These Terms of Service ("Terms") form a legally binding agreement between DIGITAL AND GROWTH LTD ("Company", "we", "us", "our") and the commercial client or user ("Client", "you").

By accessing our website or using our Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that entity.
2. Commercial B2B Capacity (18+ Requirement)
The Service is offered strictly for **Business-to-Business (B2B)** commercial and professional purposes. Access is restricted to authorized enterprise representatives aged **18 years or older**.
3. Subscriptions, Pricing & B2B Refund Policy
Professional Monthly ($97/mo) & Annual ($997/yr)
Billed in advance via Stripe. Subscriptions renew automatically until cancelled. Strict B2B Refund Policy: Due to immediate digital report delivery, no refunds will be issued once the Client generates a second compliance assessment (or after 14 days from initial purchase).
AI Strategy Review ($1,497 One-Time)
Specialized consulting and strategy deliverable. Strict B2B Refund Policy: Payments for the AI Strategy Review are strictly non-refundable once booking is confirmed and consultation access is delivered.
4. Intellectual Property Rights Allocation
- Client Input Data: Client retains 100% ownership of all system descriptions, questionnaire responses, and trade secrets uploaded.
- Generated Report Outputs: Subject to payment of fees, Client receives an exclusive, perpetual, worldwide license to use, modify, export, and distribute final generated reports for internal governance and regulatory compliance.
- Platform IP: DIGITAL AND GROWTH LTD retains all right, title, and interest in and to the platform code, algorithms, scoring matrices, UI design, and report templates.
5. Limitation of Liability & Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
1. AGGREGATE LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF DIGITAL AND GROWTH LTD FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT IS STRICTLY LIMITED TO THE ACTUAL AMOUNTS PAID BY CLIENT IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT.
2. EXCLUSION OF REGULATORY FINES & INDIRECT DAMAGES: DIGITAL AND GROWTH LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR STATUTORY REGULATORY FINES (INCLUDING EU AI ACT OR GDPR PENALTIES) IN CURRED BY CLIENT.
6. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the **laws of England and Wales**. The parties irrevocably submit to the exclusive jurisdiction of the **courts of England and Wales**.
